7. Squeeze-Outs in Japan 株式交換等

In Japan, a squeeze-out (kabushiki koukan tou) is defined in Article 2, subparagraph 12-16 of Japanese Corporate Tax Law. A squeeze-out occurs through any of the following transactions:
  1. Share-for-share exchange
  2. Use of shares subject to class-wide call
  3. Reverse stock split
  4. Demand for cash-out
1. Share-for-share exchange
A squeeze-out through a share-for-share exchange occurs if a company (i.e., a Kabushiki Kaisha or a Godo Kaisha) acquires all the issued shares of another company (i.e., a Kabushiki Kaisha). 

2. Use of shares subject to class-wide call 
A squeeze-out through the use of shares subject to class-wide call occurs if a company exercises a call option on shares subject to class-wide call to force minority shareholders to sell their shares for cash. In order to exercise such a call option, the company needs first to obtain approval at a shareholders' meeting for certain changes, including a change in its articles of incorporation to convert all the common shares to shares subject to class-wide call.  

3. Reverse stock split
A squeeze-out through a reverse stock split occurs if a company carries out a reverse stock split to make minority shareholders have only fractional shares and force them to sell such shares for cash. 

4. Demand for cash-out
A squeeze-out through a demand for cash-out occurs if one shareholder of a company demands the sale of the shares owned by the other shareholders to that shareholder for cash based on approval from the company for such sale.
